Steering Group

The Gladedale Group has appointed a Senior Level Steering Group, chaired by a Group Director, to drive the Corporate Responsibility strategy. 

The terms of reference of that Steering Group are set out below:

Role The Role of the Steering Group is to represent the Board and to assist it to deliver on its commitment to Corporate Responsibility. The Steering Group exercises the authority of the Board and is accountable to it for its performance. Key Functions
To provide direction and oversight of the implementation of the Group's Corporate Responsibility Strategy. 
 
To raise awareness among employees, of the Group’s approach to 
Corporate Responsibility. 
 
To review the Group’s Corporate Responsibility Strategy and associated Policies on an annual basis and recommend changes to the Board. 
 
To consider the Group’s risk exposure in relation to Corporate 
Responsibility, and to report to the Board on the results of these reviews.
 
To ensure that the Group’s approach to Corporate Responsibility takes appropriate account of external developments and expectations. 
 
To review its own performance annually to ensure it is operating to 
maximum effectiveness and recommend any changes needed in its Terms of Reference or Membership to the Board for approval.
Reporting The Steering Group shall report regularly to the Board on the matters discussed, with a presentation on an ad hoc basis on performance and policy developments. Delegation The Steering Group may delegate any or all of its powers and authority, as it thinks fit, to any employee of the company. Advisers
The Steering Group may obtain and determine the fees for any outside legal or other independent professional advice, including the advice of its independent consultants, as it considers necessary, in connection with its duties, and may also secure the attendance of external advisors at its meetings. 
 
Fees for any such advice will be agreed by the Executive Board.
